Industries & Clients/Commercial Property Owners & Investors

Counsel for the people who hold the keys.

Owning commercial real estate is its own business. The leases, the loans, the tenants, the tax bills, the slow drip of maintenance and the occasional crisis every one of them is a legal moment if it goes sideways. Weve been outside counsel to Pacific Northwest property owners and investors for six decades: family-owned holdings, small partnerships, single-asset LLCs, and the multi-property portfolios that grew quietly over thirty years.

The client journey

Wherever you are in the life of the building.

Every commercial asset moves through the same four chapters only the years change. Pick the chapter youre working through.

01
▍ 01 / Acquiring & Underwriting

From the offering memo to the recorded deed.

Whether youre adding a single building or rolling proceeds from a sale, the acquisition is where the next ten years of ownership get shaped. We negotiate purchase agreements, structure ownership, handle financing, and run the diligence that surfaces the leases, encumbrances, and entitlement issues before they become yours.

  • Purchase & sale agreements; LOI negotiation
  • Title, survey, lease, and ALTA-survey diligence
  • Acquisition financing and loan-document review
  • Entity structuring (LLCs, TICs, partnerships)
  • Closing coordination with escrow, lender, and broker
02
▍ 02 / Operating & Managing

The unglamorous, essential middle.

Most of an owners legal calendar lives here: property-management agreements, vendor contracts, insurance review, easement and boundary work, the slow back-and-forth with adjacent owners and jurisdictions. Were the lawyer on retainer who picks up the phone before something becomes a problem.

  • Property-management & brokerage engagement letters
  • Vendor, service, and construction contracts
  • Easements, encroachments, and boundary cleanups
  • Insurance review & loss-recovery counsel
  • Risk-allocation and indemnification analysis
03
▍ 03 / Leasing & Tenant Relations

Where the value actually lives.

An asset is worth what its leases say its worth. We draft and negotiate commercial leases on the landlord side, advise on TI packages and concession structures, handle defaults and unlawful detainer when they come, and make sure assignment, recovery, and exclusive provisions dont quietly erode the next sale.

  • Office, retail, industrial, and mixed-use leases
  • Lease amendments, renewals, and assignment review
  • Tenant defaults, workouts, and unlawful detainer
  • Subordination, non-disturbance & attornment (SNDA)
  • Estoppels and lender / buyer comfort packages
04
▍ 04 / Repositioning & Exit

Hold, sell, refinance, or exchange.

When the asset is ready for its next chapter a refinance, a value-add reposition, a sale to an institutional buyer, or a 1031 exchange into something new we structure the transition with the long view in mind. The estate plan, the family partnership, and the next generation are usually in the room.

  • Sell-side counsel & buyer-due-diligence response
  • Refinancings and assumption transactions
  • 1031 exchanges (forward, reverse, improvement)
  • Repositioning, capex programs, and value-add planning
  • Contributions into family partnerships or trusts
The team

The attorneys youll actually work with.

You wont meet one and work with another. The shareholders below share this practice and will be in every meaningful conversation about your file.

We bought our first building in 1994. Oseran Hahn has been at every refinance, every new tenant, and the estate plan that finally moved it all to the next generation. They are part of how the portfolio works.
